1. Acceptance of Terms

By accessing this website, booking a call, purchasing services, or otherwise engaging with Ryan Smith (“Consultant”), you agree to be bound by these Website Terms of Service (“Terms”).

If you do not agree to these Terms, you should not use this website or services.

2. Scope of These Terms

These Terms apply to:

  • Use of this website
  • Discovery calls and consultations
  • Coaching, consulting, and advisory services not governed by a separately signed agreement

If you enter into a separately signed Professional Services Agreement and/or Statement of Work with Consultant, the terms of that agreement will govern in the event of any conflict with these Terms.

3. Services Provided

Consultant provides professional consulting, coaching, and educational services, which may include:

  • Live sessions conducted via video call or similar platforms
  • Asynchronous support via email, messaging, or shared documents
  • Guidance related to workflow optimization, systems, and AI tools

Services are advisory and educational in nature. Consultant does not guarantee specific outcomes.

4. No Professional Advice or Guarantees

Consultant does not provide legal, financial, medical, tax, or employment advice.

Client understands and agrees that:

  • Results are not guaranteed
  • Consultant does not guarantee job placement, income, or performance outcomes
  • All decisions, actions, and implementations remain the Client’s responsibility

5. AI Tools Disclaimer

Client acknowledges that:

  • AI tools may produce incomplete, inaccurate, or outdated information
  • AI-generated outputs must be independently reviewed and verified
  • Consultant is not responsible for errors, decisions, or consequences resulting from the use of AI tools or AI-generated content

6. Client Responsibilities

Client agrees to:

  • Provide accurate and complete information
  • Act respectfully and professionally
  • Use services and AI tools ethically and lawfully
  • Comply with all applicable laws and third-party platform policies

Consultant reserves the right to suspend or terminate services for abusive, unethical, or inappropriate behavior.

7. Payment, Refunds, and Cancellations

Payment terms, fees, and service scope are agreed upon prior to engagement.

Refunds and cancellations are governed by Consultant’s Refund Policy, available on the website.
By using Consultant’s services, Client acknowledges and agrees to that policy.

8. Intellectual Property

Unless otherwise stated in writing:

  • All materials, frameworks, templates, content, and methodologies provided by Consultant remain the intellectual property of Consultant
  • Client is granted a limited, non-transferable license to use materials for personal or internal business use only

Ownership and licensing of deliverables provided under a signed Professional Services Agreement are governed exclusively by that agreement.

9. Limitation of Liability

To the maximum extent permitted by law:

  • Consultant shall not be liable for indirect, incidental, consequential, or special damages
  • Consultant’s total liability under these Terms shall not exceed the amount paid by Client for the applicable services

10. Termination

Consultant may terminate or suspend services at any time if these Terms are violated or if Client behavior is abusive, unethical, or unlawful.

Outstanding fees for services already rendered remain payable.

11. Governing Law

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles.

12. Updates to These Terms

Consultant may update these Terms from time to time. Continued use of the website or services after updates constitutes acceptance of the revised Terms.
